1. Acceptance of Terms

By accessing or using any products, services, or websites provided by 3GP.AI ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms apply to all visitors, users, and others who access or use our services, including OpenSPY, ATS360, ApplyMaster, and our AI Transformation Services.

2. Description of Services

3GP.AI provides AI-powered software products and consulting services for enterprise and individual use, including but not limited to:

  • OpenSPY — Agentic observability platform with Glass View technology
  • ATS360 — AI-native applicant tracking system
  • ApplyMaster — Automated job application system
  • AI Transformation Services — Enterprise AI strategy and implementation services

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

  • Safeguarding the password and credentials associated with your account
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to disable accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unauthorized purposes.

4. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of our services
  • Use our services for any purpose that is illegal or prohibited by these Terms
  • Scrape, data-mine, or otherwise extract data from our services without written consent

5. Intellectual Property

All content, features, and functionality of our services — including but not limited to text, graphics, logos, icons, software, and the underlying technology — are the exclusive property of 3GP.AI and are protected by international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose, subject to these Terms.

6. Data and Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your data as described in our Privacy Policy.

7. Payment and Billing

Certain services require payment of fees. By subscribing to a paid plan, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide valid payment information
  • Automatic renewal of subscriptions unless cancelled before the renewal date

All fees are non-refundable except as required by law or as explicitly stated in a separate agreement.

8. Service Level Agreement

For enterprise customers, service levels, uptime guarantees, and support commitments are governed by a separate Service Level Agreement (SLA). Standard SLA terms provide 99.9% uptime for production services.

9. Limitation of Liability

To the maximum extent permitted by applicable law, 3GP.AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or business opportunities
  • Service interruptions or downtime
  • Unauthorized access to or alteration of your data
  • Any other intangible losses

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount paid by you to 3GP.AI in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless 3GP.AI from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of our services or violation of these Terms.

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the services will immediately cease
  • We may delete your account and associated data after a 30-day grace period
  • Provisions that by their nature should survive termination will remain in effect

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a new "Last updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which 3GP.AI is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
